6. Artwork Submissions, Proofing & Production

  • User Representation & Warranties: By uploading or submitting any design, logo, image, text, or artwork (collectively, "Content") to Billboards Etc., Inc., you represent and warrant that you own the Content or possess all necessary rights, licenses, permissions, and authorizations to reproduce and commercially use it. This applies to all Content regardless of origin, including designs created by you, commissioned from third-party designers, by Billboards Etc. Inc., or generated using artificial intelligence (AI) tools.

  • Artwork Indemnification: You agree to defend, indemnify, and hold harmless Billboards Etc., Inc., its owners, employees, and agents from and against any and all claims, liabilities, damages, losses, or legal fees arising out of or related to any actual or alleged infringement of third-party copyrights, trademarks, trade secrets, or privacy rights resulting from our reproduction of your submitted Content.

  • Fulfillment-Only Vendor: Billboards Etc., Inc. operates strictly as a technical printing vendor and does not conduct independent copyright, trademark, or legal verification of customer-submitted artwork. We reserve the right, in our sole discretion, to reject or cancel any order containing Content that appears to infringe upon third-party intellectual property rights, violate local laws, or contain defamatory or unlawful material.

  • Proofing & Client Approval: Prior to printing, a digital proof will be provided for client review. Once a customer approves a digital proof, Billboard Etc. is no longer liable for spelling errors, grammatical mistakes, layout errors, or incorrect dimensions. It is the client's sole responsibility to carefully review and verify all details on the proof before giving approval.

  • Color Matching & Variations: Computer monitors display colors using the RGB color space, whereas commercial printing processes utilize CMYK. Exact color matching between your screen display and the physical printed product cannot be guaranteed. Color shifts between RGB preview and final CMYK printing are normal and expected, especially on large-format vinyl or substrate materials.

  • Production Tolerances: Minor variations in final finished dimensions (e.g., up to a fraction of an inch) may occur during the cutting, welding, hemming, or finishing process. These variations are standard in custom large-format printing and are considered acceptable production tolerances.

7. Orders, Pricing, Payments & Taxes

  • Payment Methods: We accept payments made via Credit Card, Mailed Check, and ACH transfer.

  • Payment Terms: 100% upfront payment is required prior to processing and printing an order, unless the Client has been formally pre-approved for Net 30 payment terms.

  • Sales Tax: Applicable sales tax will be collected on orders billed or delivered within the states of Texas and Oklahoma, unless a valid state-specific tax exemption certificate is provided prior to purchase.

  • Price Adjustments: Prices are subject to change without prior notice prior to order confirmation.

8. Cancellations, Returns & Reprints

  • Order Cancellation Policy: Orders may be canceled for a full refund only prior to digital proof approval. Once a proof has been approved and the order moves into production, the order cannot be canceled or refunded. (Any cancellation granted after production begins is at the sole and absolute discretion of Company management under unusual circumstances).

  • No Returns on Custom Items: Because all products are custom-manufactured to order, we do not accept returns.

  • Defect Reporting & Reprint Policy: Customers must inspect their shipment upon arrival. Any physical defects, manufacturing errors, or damaged goods on our end must be reported to Billboard Etc. within five (5) business days of delivery.

  • Remedy Limitation: For validated defective items reported within the 5-day window, our sole liability and customer’s exclusive remedy is limited to a reprint of the defective product. Cash refunds will not be issued for custom printing errors.

  • Post-Unboxing Damage: Billboard Etc. is strictly not responsible for any damage to products once they have been removed from their original packaging or incurred during improper handling, installation, mounting, or storage by the client or third parties.

9. Shipping, Delivery & Lost Packages

  • Risk of Loss: Title and risk of loss pass to the Client as soon as the order is handed off to the shipping carrier (FedEx, UPS, Freight, etc.). Billboard Etc. is not responsible for shipping delays or delivery failures caused by carriers.

  • Lost Package Reprint Policy: In the event a shipping carrier loses a package, Billboard Etc. will assist the Client by filing an official loss report with the carrier. Once lost status is confirmed, we will reprint the lost item for the customer.

  • Shipping Insurance: Shipping insurance on packages is highly recommended and must be explicitly requested by the Client prior to shipment.

  • Shipping Delays & Force Majeure: All quoted delivery dates are estimates and not guarantees. Billboard Etc. is not liable for missed deadlines, indirect damages, or financial loss resulting from shipping carrier delays, severe weather, natural disasters, cyber disruption of logistics systems, or any other force majeure ("Act of God") events outside our direct control.

10. Linking, iFrames & Content Liability

  • Hyperlinking to our Content: Government agencies, search engines, news organizations, and online directory distributors may link to our website without prior written approval, provided the link is not misleading, does not falsely imply sponsorship, and fits the context of the linking site. Billboards Etc., Inc. relies on enterprise-grade third-party software, hosting providers, API integrations, and payment gateways. We shall not be held liable for any damages, losses, costs, or liabilities resulting from unauthorized third-party access, cyberattacks, malware, hacking incidents, data breaches, or security vulnerabilities originating within third-party environments outside of our direct control.

  • Limitation of Liability & Cap on Damages: To the maximum extent permitted by applicable law, in no event shall Billboards Etc., Inc., its owners, directors, officers, employees, agents, or partners be liable for any indirect, incidental, special, consequential, or punitive damages—including but not limited to loss of data, loss of business revenue, lost profits, operational downtime, or loss of privacy—arising out of or in connection with your use of our website, services, or reliance on third-party infrastructure.

    In no event shall the total aggregate liability of Billboards Etc., Inc. for all claims, losses, damages, or causes of action (whether in contract, tort including negligence, statutory breach, or otherwise) exceed the total amount paid by the Client to Billboards Etc., Inc. for the specific order giving rise to the claim, or $100.00 USD, whichever is greater.

  • General Indemnification: In addition to the artwork-related indemnification in Section 6, you agree to defend, indemnify, and hold harmless Billboards Etc., Inc., its owners, directors, officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, or expenses (including reasonable attorney fees) arising out of or related to your breach of these Terms, misuse of our website or services, or violation of any applicable laws or third-party rights.
